Welcome to PipeAlive ("PipeAlive," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the PipeAlive website, applications, software, APIs, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. If you are using PipeAlive on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Our Services
PipeAlive provides AI-powered software designed to help businesses engage leads, automate communications, revive inactive prospects, schedule appointments, and streamline sales workflows.
Features may include:
AI-generated communications
Email automation
SMS automation
Appointment scheduling
CRM integrations
Calendar integrations
Lead management
Analytics and reporting
Workflow automation
Additional features introduced over time
We may add, modify, suspend, or discontinue features at any time.
3. Account Registration
You agree to:
Provide accurate information.
Keep your account information current.
Maintain the security of your login credentials.
Notify us promptly of unauthorized account access.
You are responsible for all activity occurring under your account.
4. Subscription and Billing
Certain Services require a paid subscription.
By subscribing, you authorize PipeAlive and our payment processor, Stripe, to charge your selected payment method for all applicable fees, taxes, and recurring subscription charges.
Unless otherwise stated:
Subscriptions renew automatically.
You may cancel at any time before your next billing cycle.
Fees already paid are generally non-refundable except where required by law.
Failure to maintain a valid payment method may result in suspension or termination of your account.
5. Customer Data
You retain ownership of all customer data, contacts, CRM records, communications, and other information you upload to PipeAlive ("Customer Data").
You grant PipeAlive a limited license to host, process, transmit, and analyze Customer Data solely to provide and improve the Services.
You are responsible for ensuring that you have the legal right to collect, upload, and process any Customer Data.
6. AI-Generated Content
PipeAlive uses artificial intelligence, including technologies provided by OpenAI and Anthropic, to generate communications, automate workflows, summarize information, and assist with business processes.
AI-generated outputs:
May contain errors or inaccuracies.
Should be reviewed before being relied upon.
Are provided for informational and business assistance purposes.
Do not constitute legal, financial, accounting, tax, or professional advice.
You remain solely responsible for reviewing and approving AI-generated content before sending it to customers or prospects.
7. Communications Compliance
If you use PipeAlive to send emails, SMS messages, voice calls, or other communications, you agree to comply with all applicable laws, including those relating to:
Consumer privacy
Anti-spam requirements
Marketing communications
Telephone and SMS regulations
Data protection
Record retention
You are solely responsible for obtaining any legally required consent before contacting individuals through PipeAlive.
PipeAlive does not verify that your communications comply with applicable law.
8. Acceptable Use
You agree not to use PipeAlive to:
Send spam or unsolicited communications.
Engage in fraudulent or deceptive conduct.
Violate intellectual property rights.
Upload malicious software.
Attempt unauthorized access to our systems.
Interfere with the operation or security of the Services.
Harass, threaten, or abuse others.
Use the Services for unlawful purposes.
We reserve the right to suspend or terminate accounts that violate these Terms.
9. Third-Party Integrations
PipeAlive may integrate with third-party services including:
Stripe
Postmark
OpenAI
Anthropic
Google Workspace
Google Calendar
Microsoft Outlook Calendar
Twilio
CRM platforms
Other business software
Your use of third-party services is governed by their respective terms and privacy policies. PipeAlive is not responsible for third-party products or services.
10. Intellectual Property
PipeAlive and its software, trademarks, branding, logos, graphics, code, documentation, and other content are owned by PipeAlive or its licensors and are protected by applicable intellectual property laws.
These Terms do not grant you ownership of any PipeAlive intellectual property.
11. Feedback
If you provide suggestions, comments, or feedback regarding the Services, you grant PipeAlive a perpetual, worldwide, royalty-free license to use and incorporate that feedback without compensation or obligation to you.
12. Availability
We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation.
Maintenance, updates, outages, internet disruptions, and third-party failures may affect availability.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEALIVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEALIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PIPEALIVE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless PipeAlive, its owners, employees, affiliates, contractors, and licensors from any claims, damages, liabilities, losses, costs, and expenses arising from:
Your use of the Services.
Your Customer Data.
Your communications with third parties.
Your violation of these Terms.
Your violation of applicable law.
16. Suspension and Termination
We may suspend or terminate your account immediately if:
You violate these Terms.
Required payments are not made.
Your activities create security or legal risks.
We are required to do so by law.
You may terminate your account at any time by canceling your subscription.
17. Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of law principles.
Any legal action arising out of these Terms shall be brought in the state or federal courts located in Oklahoma, and you consent to the jurisdiction of those courts.
18. Changes to These Terms
We may modify these Terms from time to time.
Material changes will become effective upon posting or as otherwise required by law. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements incorporated by reference, constitute the entire agreement between you and PipeAlive regarding the Services.
